Electronic Consent as Legal Agreement

  • I agree that any time I click on an “I Agree,” “I Consent,” or similarly worded button or entry field using my mouse, keystroke, or other device, my agreement or consent is legally binding and enforceable, and is the legal equivalent of my handwritten signature on a paper agreement. I agree to be bound by any affirmation, assent, or agreement that I submit to or through Seed Funder Hub (the “Platform”) via computer or other electronic device, including internet, telephonic, and wireless devices. This includes, but is not limited to, any consent I give to receive communications solely through electronic transmission from Seed Funder Hub or its affiliates.

    I understand that, to the fullest extent permitted by law, any notices, disclosures, forms, privacy statements, reports, or other communications, including any tax-related information or documents (collectively, “Communications”), regarding investments available on the Platform, and my investment in any such opportunities, may be delivered by electronic means, such as by email or through the Seed Funder Hub Platform. I consent to this electronic delivery. I acknowledge that email messages may not be secure, may contain viruses or other defects, may not be accurately replicated, and may be subject to interception or interference. Additionally, emails may be accessed by unintended recipients, and Seed Funder Hub makes no warranties regarding email security.

Tax Document Delivery Consent

I consent to the delivery of tax documents (such as IRS Form 1099-INT) through SeedFunderHub.com. I understand that I may withdraw this consent before my tax document is furnished. I also acknowledge that I have received Seed Funder Hub’s Information on the Electronic Delivery of Tax Documents, included below.

Additional Acknowledgments and Agreements:

  • As long as my consent remains in effect, Seed Funder Hub may provide all Communications to me electronically in lieu of providing paper Communications.

  • Hardware and Software Requirements: I understand that electronic Communications may be provided to me via email and/or the Platform. To view and retain the Communications, my computer hardware and software must, at a minimum, be capable of accessing the Internet, with connectivity to an Internet Service Provider or other capable communication medium, and with software capable of viewing and printing a *.pdf file created by Adobe Acrobat. Additionally, I must have a personal email address capable of sending and receiving messages from Seed Funder Hub. To print documents, I will need access to a printer compatible with my hardware and software.

  • Change in Software/Hardware Requirements: If these software or hardware requirements change in the future, Seed Funder Hub will notify me through the Platform.

  • Current Email Requirement: To facilitate these services, I must provide Seed Funder Hub with my current email address and update that information as necessary. Unless otherwise required by law, I will be deemed to have received any electronic Communications sent to the most recent email address I provided to SeedFunderHub.

  • No Liability for Non-Receipt: SeedFunderHub will not assume liability for non-receipt of notification of the availability of electronic Communications in the event my email address on file is invalid, my email or Internet service provider filters the notification as “spam” or “junk mail,” there is a malfunction in my computer, browser, Internet service, and/or software, or for any other reasons beyond the control of SeedFunderHub.

  • Withdrawing Consent for Electronic Communications: I may withdraw my consent to receive Communications in electronic form by emailing SeedFunderHub at support@seedfunderhub.com. If I withdraw my consent, SeedFunderHub may, at its option and sole discretion, (A) terminate my account with SeedFunderHub created through the Platform (“My Account”), (B) restrict or limit the actions I may take with respect to My Account, including restricting my ability to invest through My Account, and (C) charge a fee of $5 for each paper copy of each Communication that would have been provided to me electronically. Any withdrawal of consent will not affect or impact the terms of this Agreement or my agreement to the Platform’s Terms of Use Agreement.

Information on Electronic Delivery of Tax Documents

These provisions relate to my consent above for Seed Funder Hub to provide tax documents electronically. Prior to furnishing the tax documents electronically, the IRS requires Seed Funder Hub to provide each investor with the following information:

  1. If I do not consent to receive the tax document electronically, a paper copy will be provided.

  2. My consent will continue for each tax year until I withdraw it.

  3. I may log into My Account at SeedFunderHub.com to access and print my tax documents. I may need Adobe Acrobat Reader to open the document and a device connected to my computer that can print. If a tax document is too large to open in the browser, I may be prompted to save the file and open it using Acrobat Reader.

  4. Withdrawing Consent for Electronic Tax Documents: To withdraw consent, I may email Seed Funder Hub at support@seedfunderhub.com.

  5. Account Closure: If My Account is closed, my request for electronic delivery of tax documents will automatically terminate, and I will receive a paper copy of my tax documents by mail at the last address I provided to Seed Funder Hub.

  6. Updating Contact Information: I may update my contact information by emailing Seed Funder Hub at support@seedfunderhub.com.

  7. Record Maintenance: My tax documents will be maintained for 10 years on SeedFunderHub.com in case I need access in the future.
